1. Agreement to Terms

By accessing or using UnitHub's property management platform ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

These Terms constitute a legally binding agreement between you and UnitHub Limited ("UnitHub", "we", "us", "our"), a company incorporated in New Zealand.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use UnitHub. By using our Services, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

To use UnitHub, you must create an account by providing:

• Accurate and complete information (name, email, contact details)
• A secure password or authenticate via Google OAuth
• Consent to our Privacy Notice

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

4. Use of Services

4.1 Permitted Use

You may use UnitHub to:

• Manage residential rental properties in New Zealand
• Track rent payments, tenancies, and maintenance requests
• Store property documents, leases, and inspection reports
• Record communication logs for tenant interactions
• Generate AI-powered insights for lease extraction and maintenance categorization

4.2 Prohibited Use

You agree NOT to:

• Violate any applicable laws or regulations (including the Residential Tenancies Act 1986)
• Upload malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems or other users' data
• Use the platform for fraudulent, deceptive, or unlawful purposes
• Scrape, reverse-engineer, or copy our software or content
• Resell or redistribute our Services without permission
• Harass, abuse, or harm other users

5. Subscription and Billing

UnitHub offers subscription plans with different features and pricing tiers:

• Free Plan: Up to 3 properties with basic features
• Core Plan: $19/month - Up to 20 properties with AI automation
• Smart Plan: $29/month - Up to 200 properties with AI automation

Payments are processed securely via Stripe. Subscriptions renew automatically each month unless canceled. You may cancel at any time from your account settings. No refunds are provided for partial months.

6. Data and Privacy

Your use of UnitHub is also governed by our Privacy Notice, which explains how we collect, use, and protect your personal information. By using our Services, you consent to our data practices as described in the Privacy Notice.

7. Third-Party Integrations

UnitHub integrates with third-party services to enhance functionality:

• OpenAI: AI-powered lease extraction and maintenance categorization
• Stripe: Secure payment processing for subscriptions
• Google Maps & Mapbox: Property address geocoding and Street View imagery
• Resend: Transactional email delivery

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the performance, availability, or actions of third-party providers.

8. Intellectual Property

All content, features, and functionality of UnitHub (including but not limited to software, text, graphics, logos, and trademarks) are owned by UnitHub Limited and protected by intellectual property laws.

You retain ownership of any data you upload (leases, documents, tenant information). By uploading content, you grant UnitHub a limited license to store, process, and display your data solely to provide our Services.

9. Disclaimers and Limitations of Liability

9.1 No Legal Advice

UnitHub provides property management software tools and does not provide legal, financial, or tax advice. You are responsible for ensuring compliance with all applicable laws, including the Residential Tenancies Act 1986 and New Zealand tax regulations.

9.2 Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. UnitHub is provided "as is" and "as available" without warranties of any kind, express or implied.

9.3 Limitation of Liability

To the fullest extent permitted by law, UnitHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount you paid us in the 12 months prior to the claim.

10. Indemnification

You agree to indemnify and hold harmless UnitHub, its directors, employees, and affiliates from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or our Privacy Notice
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Misuse the platform or harm other users

You may terminate your account at any time from your account settings. Upon termination, you will lose access to your data, though we may retain certain information for legal compliance (see our Privacy Notice for details).

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of New Zealand. Any disputes arising from these Terms or your use of UnitHub shall be resolved in the courts of New Zealand.

Before initiating legal action, you agree to attempt to resolve disputes informally by contacting us at support@unithub.ai.

13. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services or legal requirements. We will notify you of material changes by email or through a prominent notice on the platform. Continued use after changes indicates acceptance of the updated Terms.
